Welcome to Vibranium Valley Hub. By accessing or using our website, facilities, or services, you agree to comply with and be bound by the following terms. Please read them carefully.

Our Commitment to You

• We will provide professional, well-maintained facilities and services as described (event spaces, office spaces, virtual mailbox, talent training, accelerator program as a service and related services).

• We will communicate our rates, policies, and service terms clearly.

• We will ensure a safe and collaborative environment for all clients and visitors.

• We will respect your data and privacy in line with our Privacy Policy.

Your Responsibility

• Use our facilities and services lawfully, respectfully, and without disrupting other clients or activities.

• Provide accurate details when making bookings, payments, or service requests.

• Take care of Vibranium Valley property and promptly report any damages.

• Respect our staff, partners, and other community members.

• Comply with all applicable local laws, including Lagos State regulations and any tax or identification requirements (e.g., LASRRA, LIRS where applicable).

• Abide by specific service rules (e.g., catering policies, branding guidelines for events, use of shared resources like the America Corner or studio).

1. Use of Services
Our services (event space rentals, coworking desks, virtual office, and related services) are available to individuals, startups, corporates, and partners who agree to these terms. Misuse of services may result in suspension or termination of access.

2. Bookings & Payments

• All bookings are subject to availability and confirmation.

• Payments must be made in line with our invoicing timelines.

• Refunds and cancellations are subject to our cancellation policy (to be detailed separately).

3. Community Conduct
We foster an inclusive, respectful, and innovative environment. Harassment, discrimination, or disruptive behavior will not be tolerated.

4. Liability
While we take reasonable measures to ensure safety and uptime of our services, Vibranium Valley is not liable for losses, theft, or damages resulting from misuse, negligence, or circumstances beyond our control.

5. Changes to Terms
We may update these Terms of Service periodically to reflect operational, legal, or regulatory changes. Users will be notified of material updates.

6. Cancellation & Refund Policy

• Cancellations by Client: Bookings canceled at least 7 days prior are eligible for a full refund.

• Cancellations within 7 days: Eligible for a 50% refund.

• No-shows or same-day cancellations: Non-refundable.

• Refunds will be processed within 14 business days in compliance with the Nigerian Consumer Protection Framework.

7. Termination of Use
We reserve the right to suspend or terminate access if:

• Payments are overdue,

• Facilities are misused or damaged,

• Terms are repeatedly violated.

Notice: Long-term clients (clients that have used our service without owing for up to 6 months) will receive a 7-day written notice before termination, except in cases of gross misconduct. Refunds for unused services (if prepaid) will be prorated and processed within 14 business days.

8. Limitation of Liability
To the extent permitted by law, Vibranium Valley’s liability is limited to the total fees paid by the client in the 3 months preceding the claim. We are not liable for indirect or consequential damages, including business losses or third-party claims.

9. Dispute Resolution
Any dispute arising under these Terms shall first be resolved amicably through negotiation. If unresolved, the matter shall be referred to mediation in Lagos, Nigeria. Failing settlement, the dispute shall be subject to the exclusive jurisdiction of the courts of Lagos State, or resolved by arbitration under the Lagos State Arbitration Law.

10. Force Majeure
We are not liable for failure or delay in performance caused by events beyond our reasonable control, including natural disasters, strikes, acts of government, or pandemics. During such periods, obligations are suspended until conditions normalize.

11. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria.
